Account Registration and Security

• You must create an account to access certain features

• You must provide accurate, current, and complete information

• You are responsible for maintaining the confidentiality of your account credentials

• You are responsible for all activities under your account

Account Security

• Notify us immediately of any unauthorized access

• Use strong, unique passwords

• Do not share your account with others

• We are not liable for losses due to unauthorized account access resulting from your failure to maintain security

Acceptable Use Policy

You May:

• Use Xynth for legitimate financial research and analysis

• Ask questions and generate reports for personal or professional use

• Export data in accordance with these terms

• Share your own research (not others' private research)

You May NOT:

• Use Xynth for any illegal purposes

• Violate any securities laws or regulations

• Engage in market manipulation, insider trading, or fraudulent activities

• Attempt to reverse engineer, decompile, or hack the platform

• Use automated scripts or bots to scrape data (except through official API if available)

• Resell, redistribute, or commercialize our data or services without permission

• Impersonate others or create fraudulent accounts

• Transmit viruses, malware, or harmful code

• Interfere with or disrupt the platform's operation

• Access other users' private data or research

• Use the platform to spam, harass, or harm others

• Circumvent usage limits or access restrictions

• Share your account credentials with others

Intellectual Property Rights

• Xynth owns all rights to the platform, including software, design, algorithms, and AI models

• Our trademarks, logos, and brand materials are protected

Your Rights

Subscription and Payment Terms

Billing

• Subscription fees are billed in advance on a monthly or annual basis

• Prices are subject to change with 30 days' notice

• You authorize us to charge your payment method automatically

• All fees are non-refundable except as required by law

Free Trials

• Free trials may be offered at our discretion

• Credit card required for free trials

• Automatic billing begins after trial period unless canceled

• One free trial per user

Cancellation

• You may cancel your subscription at any time

• Cancellation takes effect at the end of your current billing period

• No refunds for partial billing periods

• Access continues until the end of the paid period

Failed Payments

• Service may be suspended if payment fails

• You remain responsible for unpaid fees

• We may charge reasonable collection costs for unpaid balances

Data Usage and Limits

Usage Limits

• Free and paid tiers have specified usage limits (queries per month, data access, etc.)

• Exceeding limits may result in throttling or service interruption

• Limits may be adjusted with notice

Fair Use

• Platform must be used in accordance with fair use principles

• Excessive or abusive usage may result in account suspension

• We reserve the right to limit usage that impacts platform performance

Service Availability

No Guarantee of Uptime

• We strive for high availability but do not guarantee uninterrupted service

• Scheduled maintenance may temporarily interrupt service

• We are not liable for losses due to service downtime

Market Data Availability

• Market data availability depends on third-party providers

• Data may be delayed, incomplete, or temporarily unavailable

• We are not responsible for third-party data outages

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

No Consequential Damages

XYNTH AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages

• Loss of profits, revenue, data, or business opportunities

• Investment losses or missed opportunities

• Damages arising from your use or inability to use the service

• Damages resulting from errors, inaccuracies, or omissions in data or analysis

• Damages from unauthorized access to your account

Maximum Liability Cap

Our total liability for any claims related to the service shall not exceed the amount you paid us in the 12 months prior to the claim, or $100, whichever is greater.

Financial Losses

WE ARE NOT LIABLE FOR ANY FINANCIAL LOSSES, TRADING LOSSES, OR INVESTMENT LOSSES YOU MAY INCUR, REGARDLESS OF WHETHER SUCH LOSSES RESULT FROM:

• Reliance on platform data or analysis

• Errors or inaccuracies in the service

• Service interruptions or downtime

• Third-party data provider errors

• AI-generated analysis or recommendations

Indemnification

You agree to indemnify and hold harmless Xynth, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the service

• Your violation of these terms

• Your violation of any laws or regulations

• Your investment decisions or trading activities

• Content you submit or share through the platform

• Your violation of third-party rights

Termination

By You

You may terminate your account at any time by:

• Canceling your subscription through account settings

• Contacting support at support@xynthfinance.com

By Us

We may suspend or terminate your account if:

• You violate these Terms of Service

• You engage in fraudulent or abusive behavior

• Your account has been inactive for an extended period

• Required by law or regulatory authorities

• We discontinue the service (with reasonable notice)

Effect of Termination

• Your access to the platform will cease

• We may delete your data after a reasonable period

• You remain liable for any outstanding fees

• Provisions that should survive (liability, indemnification, etc.) remain in effect

Modifications to Service and Terms

• Modify, suspend, or discontinue any feature

• Change pricing with 30 days' notice

• Impose new usage limits

• We do not custody funds or execute trades

Market Data Licenses

• Misuse of market data may result in termination

Warranties and Disclaimers

AS-IS Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING:

• Warranties of merchantability

• Fitness for a particular purpose

• Non-infringement

• Accuracy, reliability, or completeness of data

• Uninterrupted or error-free operation

No Professional Relationship

Using Xynth does not create:

• An advisory relationship

• A fiduciary duty

• A broker-client relationship

• Any professional relationship requiring regulatory registration

Miscellaneous

Entire Agreement

These terms constitute the entire agreement between you and Xynth regarding the service.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment

You may not assign these terms without our consent. We may assign these terms without notice.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

Survival

Provisions that should reasonably survive termination (liability, indemnification, dispute resolution) will survive.
